Terms and Conditions

These are the Terms and Conditions for Seats2meet.com International B.V., located at Moreelsepark 65 in Utrecht, registered by the Dutch Chamber of Commerce by registration number 50516167. 

These Terms and Conditions apply to the general use of the website, the Seats2meet.com platform and the booking of Meetingspaces and Workspaces. When you make a booking at a location, you enter into a transaction with the location Operators, which is separate entity from Seats2meet.com that operates under these same Terms and Conditions.


1. The agreement
1.1 By accepting these Terms and Conditions and finishing the account registration process, you will enter into agreement with Seats2meet.com. You can terminate this agreement at any time by deleting your account. 
   
2. Use of the software
2.1 To register an account and to use the Seats2meet.com software we need you to provide accurate information about yourself. 
2.2 You must secure access to your account by protecting your username and password. If you think someone else has access to your account, please contact us. 
2.3 It is not permitted to use the software in a manner that causes hindrance or a nuisance for other users. In addition, you must not use the software in any way that is unlawful, illegal or harmful or for any purpose or activity in connection thereto. 
2.4 We can remove any content that you share and take actions against your account, if you are in breach of this agreement. This may include disabling your account. We will notify you if we do so.
   
3. Booking conditions: Workspace or Meetingspace 
3.1 Workspace booking conditions: Unless communicated otherwise, workspaces are available for booking without making a financial transaction in exchange of Social Capital (See item 5 in these terms). Some location operators do charge for the workspace they offer. In this case: if you cancel your booked workspace until 24 hours before the starting time of your reservation, we will not charge any cancellation fees. If you cancel within 24 hours before a reservation, a location operator may charge you a small cancellation fee.   
3.2 Meetingspace booking conditions: Meetingspaces can be booked in exchange for social capital and a financial transaction, unless communicated otherwise. You can cancel your booked seats until 24 hours before your booking. After this period of time your booking at the location is final and you will be charged the fee for the Meetingspace. Immediately after you have booked, you will receive a booking confirmation by e-mail. Moreover, you will receive two e-mails from us, one week and 48 hours before the starting time of your booking. These e-mails contain extra confirmation and the option to immediately change your booking or to cancel it. 
   
4. Freedom to change your booking anywhere, anytime
4.1 You are free to change your booking online at Seats2meet.com up to 24 hours in advance.
4.2 You are fully responsible for providing correct and complete information in your booking. Make sure your booking information contains the final number of participants, the chosen food & drinks and the necessary audio-visual equipment, 24 hours in advance of your meeting. Costs for optional services, like food or equipment will be charged separately. 
   
5. Your Seats2meet Passport: control over your personal data
5.1 To work with our services we ask you create a profile with us that requires your name, an email address and an optional profile picture. For Meetingspace bookings we require you to also provide us with billing address details. 
5.2 Your profile and all your personal data that is stored on Seats2meet.com can be fully controlled by you from your profile passport.
   
6. We protect your privacy
6.1 We are committed to process your personal data with up to date security measures and in full accordance with EU Regulation 2016/679 - the General Data Protection Regulation (GDPR). Please read our Privacy policy (on our website) to learn more about how we protect your personal data and serve your personal data rights. 
6.2 Seats2meet.com will make all reasonable effort to positively influence and make good arrangements with third parties about the processing of personal data, like the Seats2meet.com location operators who obtain certain personal data from users. You can find detailed information about this at the GDPR section of our website. However, you understand and accept that Seats2meets.com is not responsible for how these third parties handle the personal data. Therefore, Seats2meet.com cannot guarantee that these third parties will reliably or safely handle the personal data they have access to. Seats2meet.com will not be liable for any damage that results out of any actions undertaken by third parties. 
6.3 For control over your personal data please check your Profile Passport or contact our Data Protection Officer directly at privacy@seats2meet.com in case of any further questions or requests.
   
7. Exchange of Social Capital
7.1 At Seats2Meet.com we regard Social Capital as complementary to monetary currency. By agreeing to the exchange of Social Capital you agree to demonstrate openness to meet others at our locations and share your knowledge with them. 
7.2 During the booking process you will be encouraged to share your areas of expertise. 
7.3 For control over your personal data please check your Profile Passport or contact our Data Protection Officer directly at privacy@seats2meet.com in case of any further questions or requests.
   
8. Terms of payment
8.1 Some location operators may charge a booking fee for booking Meetingspaces or Workspaces. This fee will appear on your booking overview before payment.  Bookings of Meetingspaces can be paid online, if a location operator provides this option. If is not possible to pay online, an invoice will be sent afterwards. Bookings of Workspaces should be issued through online payment. 
8.2 While booking, you may be able to choose to pay before or after your booked meeting. When a paid booking is cancelled at least 24 hours in advance, the payment will be refunded to your bank account within 30 days.
8.3 Bookings of up to 500 euro should be paid on the spot after your meeting.
8.4 If a paid booking is not cancelled 24 hours in advance, Seats2meet.com will consider this booking as final. Payments will not be refunded if a final booking is cancelled or if you do not show up at the booked space. 
8.5 The Seats2meet.com system will automatically generate an invoice after the meeting. It will be sent to the e-mail address you provided. If you wish to receive a hard copy of the invoice, the operator of the location may charge additional costs for this.
8.6 Location operators may request a prepayment before the booking. The prepayment should be paid within 14 days after receiving the invoice and at the latest 48 hours before the meeting. The prepayment will be deducted from the final invoice.
8.7 When the invoice is not paid within the term of 14 days, an extra 1% of the total invoice amount will be charged each week. The final payment deadline is 4 weeks after the invoice date. After these 4 weeks, the invoice will be handed over to a debt collection agency. You will be liable to pay, in addition to the price owed and statutory interest, full compensation for extrajudicial and judicial collecting costs, including costs for lawyers, bailiffs and debt collection agencies, as permitted under the law.
   
9. Liability
9.1 Except in case of intentional misconduct or willful recklessness by Seats2meet.com'smanagement, Seats2meet.com will not be liable for any damage.
9.2

In case you organize an event at a Seats2meet location, you are fully responsible for the organization of the event. Seats2meet.com and the location Operator are not responsible for any aspect of the event organization including but not limited to communication with participants, coordination of speakers, ticket sales and cancellations of participants. Seats2meet.com and the location Operator are never liable for any damage resulting out of your organization of an event.

9.3 Neither Seats2meet.com nor the Operator that provides your Meeting- or workspace are liable for indirect damages, consequential damages, lost profits, missed savings or damages through business interruption.
   
10. Miscellaneous
10.1 These Terms and Conditions shall be governed by Dutch law, excluding any conflict of law provisions contained in Dutch law.
10.2  To the extent not otherwise provided for in mandatory law, all disputes related to our service or these Terms and Conditions will be submitted to the competent Dutch court in the jurisdiction where Seats2meet.com has its registered office.
10.3 These Terms and Conditions may be amended at any time. We will send you a notification if we do change them. If you do not want to accept a change or addition, you can terminate the agreement by deleting your Seats2meet.com account. Use of the Seats2meet.com platform after the date of effect shall constitute your acceptance of the changed or added-to terms and conditions.
10.4 If any provision of this agreement will be held to be invalid or unenforceable for any reason, the remaining provisions will continue to be valid and enforceable.  If a court finds that any provision of this agreement is invalid or unenforceable, but that by limiting such provision, it would become valid and enforceable, then such provision will be deemed to be written, construed, and enforced as so limited.
